Terms of Service
1. Provider
Ledeflow is provided by AI BRESLAU spółka z ograniczoną odpowiedzialnością, ul. Maślicka 171/35, 54-104 Wrocław, Poland, entered in the National Court Register (KRS) under number 0001001487, NIP 8971914184, REGON 523636612 (“Provider”, “we”). Contact: dev@ledeflow.com.
2. Definitions
- Service — the Ledeflow software provided as a service via a web browser at app.ledeflow.com.
- Customer — a business (entrepreneur) that concludes an agreement with the Provider to use the Service.
- User — a person authorised by the Customer to access the Customer’s workspace.
- Customer Data — all data entered into, uploaded to or received by the Service on behalf of the Customer, including leads, contacts, deals, activities and emails.
- Agreement — these Terms together with the order, plan or individual contract agreed with the Customer and the Data Processing Agreement.
3. Scope and acceptance
The Service is intended exclusively for businesses (B2B) and is not offered to consumers. By creating an account or using the Service on behalf of a company, you confirm that you are authorised to bind that company to these Terms. If an individual contract with the Customer conflicts with these Terms, the individual contract prevails.
4. The service
Ledeflow is a CRM that lets the Customer manage leads, deals, contacts, activities and email, and receive leads from website forms, Telegram, phone calls and advertising lead forms (Google Ads, Meta Lead Ads, TikTok Lead Generation), as well as use Content Studio. The scope of available modules depends on the Customer’s plan. We may develop and change the Service, provided that its core functionality is not materially reduced during a paid period.
5. Accounts and access
- The Customer is responsible for the Users it invites, their roles and permissions, and for keeping login credentials confidential.
- The Customer must notify us without delay of any suspected unauthorised access at dev@ledeflow.com.
- We may suspend access that threatens the security of the Service or other Customers, informing the Customer where possible.
6. Customer data
- The Customer remains the owner and the controller of Customer Data. We process Customer Data only to provide the Service, as a processor under a Data Processing Agreement compliant with Article 28 GDPR, which forms part of the Agreement.
- The Customer is responsible for having a valid legal basis for the personal data it collects and processes in the Service, including data received from advertising lead forms.
- Customer Data is stored on servers in the European Union. Details are set out in our Privacy Policy.
- The Customer can export its data during the term of the Agreement. After termination, Customer Data is deleted within 30 days, unless the law requires otherwise.
7. Third-party integrations
The Service can connect to third-party platforms (such as Meta, TikTok, Google, Telegram, telephony providers and AI providers). Such connections are made by the Customer, using the Customer’s own accounts and, where applicable, its own API keys, and are subject to the terms of those platforms. Advertising integrations are read-only: we receive lead form submissions and do not create or modify ads. We are not responsible for the availability, changes or acts of third-party platforms.
8. Acceptable use
The Customer and its Users must not:
- use the Service in breach of the law, including data protection and anti-spam rules;
- upload malicious code or attempt to gain unauthorised access to the Service or other Customers’ data;
- overload, reverse-engineer or resell the Service without our written consent;
- store or send unlawful content, or content infringing third-party rights.
9. Fees and payment
Fees and payment terms are set out in the order form or individual agreement with the Customer. Unless agreed otherwise, fees are payable in advance on the basis of a VAT invoice, within the term stated on the invoice. In case of late payment we may charge statutory interest for delay in commercial transactions and, after prior notice, suspend access to the Service.
10. Availability and support
We make reasonable efforts to keep the Service available and to perform maintenance at times of low usage. Specific service levels apply only if agreed in an individual contract. Support is provided by email at dev@ledeflow.com.
11. Intellectual property
All rights to the Service, its software, design and the Ledeflow brand belong to the Provider. For the term of the Agreement the Customer receives a non-exclusive, non-transferable right to use the Service for its internal business purposes. The Customer grants us the right to process Customer Data solely to the extent necessary to provide the Service.
12. Liability
- The Service is provided for business use “as is” within the scope described in the Agreement.
- To the extent permitted by law, the Provider is not liable for lost profits, lost revenue, loss of business opportunities or indirect damages.
- The Provider’s total liability under the Agreement is limited to the fees actually paid by the Customer for the Service in the 12 months preceding the event giving rise to the claim.
- The Provider’s liability under the warranty for defects (rękojmia) is excluded to the extent permitted by law.
- These limitations do not apply to damage caused intentionally or where liability cannot be limited by law.
13. Term and termination
The Agreement is concluded for the period set out in the order or plan. Either party may terminate it in accordance with the individual contract, or — absent such provisions — with 30 days’ notice to the end of a billing period. Either party may terminate with immediate effect if the other party materially breaches the Agreement and fails to remedy the breach within 14 days of notice. Upon termination, access ends and Customer Data is handled as described in section 6.
14. Changes to the Terms
We may amend these Terms for important reasons, such as changes in the law or in the Service. We will notify Customers at least 14 days before changes take effect. A Customer that does not accept the changes may terminate the Agreement before they take effect.
15. Governing law and disputes
These Terms and the Agreement are governed by the laws of the Republic of Poland. Disputes will be resolved by the common court having jurisdiction over the registered office of AI Breslau Sp. z o.o. (Wrocław, Poland).
